AI Terms of Use

These AI Terms of Use ("AI Terms") govern the use of the artificial intelligence features offered through the YHRTK Pty Ltd platform ("yourhrtoolkit.ai", the "Platform"). By accessing or using the AI Services, you agree to be bound by these AI Terms. If you do not agree, you must not use the AI Services.

1. Overview

These AI Terms govern your use of the AI features offered through the Platform. The AI Services include, but are not limited to:

• HR chat assistants;
• HR document generation tools;
• Policy and template drafting tools; and
• Workflow or HR process guidance tools.

By using the AI Services, you agree to these AI Terms. If you disagree with any part of these AI Terms, you must not use the AI Services.

2. Content

For the purposes of these AI Terms, "Input" means the information, prompts, files, or instructions you provide to the AI Services. "Output" means the content, responses, suggestions, or documents generated by the AI Services in response to your Input. "Content" refers collectively to both Input and Output.

You are responsible for ensuring that your Content:

• Complies with all applicable laws;
• Does not infringe intellectual property rights;
• Does not violate the privacy rights of any person; and
• Does not contain unlawful, harmful, or inappropriate information.

You retain ownership of your Input. You own the Output generated in response to your Input, subject to these AI Terms. YHRTK retains all rights, title, and interest in and to the AI Services, the underlying software, models, and systems. Nothing in these AI Terms transfers ownership of any AI technology to you.

3. Customer Data and Conversations

YHRTK does not access, read, or review the conversations you have with the AI Services. Your Inputs and AI interactions are not monitored for content by YHRTK staff.

System logs and technical data may be collected for the following limited purposes:

• Monitoring system performance;
• Maintaining security; and
• Preventing misuse of the Platform.

You should avoid entering sensitive personal information into the AI Services unless strictly necessary. You are responsible for ensuring your use of the AI Services complies with all applicable privacy and employment laws.

4. AI Output

You acknowledge and accept that Output generated by the AI Services may:

• Contain inaccuracies;
• Contain outdated information;
• Reflect bias;
• Be incomplete or misleading; and
• Not fully comply with current employment law.

The AI Services are not a sole source of HR, legal, or compliance advice. Human review and professional judgment are required before acting on any Output. YHRTK does not review or validate individual Output, and you are solely responsible for any decisions made based on the Output. Outputs generated by the AI Services may not be unique and similar results may be produced for other users.

5. HR and Legal Disclaimer

The AI Services provide general HR guidance and document generation tools only. The AI Services do not constitute legal advice and are not a substitute for professional HR, legal, or employment advice.

Employment law varies depending on, among other factors:

• Location;
• Industry;
• Applicable modern awards;
• Enterprise agreements; and
• Your specific arrangements with an employee.

You should seek professional advice before implementing any Output or relying on guidance produced by the AI Services.

6. Third Party AI Technology

The AI Services may rely on third party AI providers and technology. You acknowledge that:

• Processing of your Input may occur through third party AI providers;
• YHRTK does not control the underlying third party AI technology; and
• YHRTK is not responsible for errors, outages, or behaviours of third party AI providers.

YHRTK will take reasonable steps to select reputable providers but cannot guarantee the performance or behaviour of any third party technology.

7. Acceptable Use

You agree that you must not use the AI Services for any of the following purposes:

• Unlawful purposes of any kind;
• Generating misleading, illegal, or fraudulent content;
• Violating the privacy rights of any person;
• Infringing intellectual property rights;
• Creating defamatory content;
• Producing political campaign content;
• Generating spam, malware, or malicious code;
• Producing discriminatory or hateful content;
• Creating content that promotes violent extremism;
• Producing child exploitation material;
• Producing pornographic material;
• Impersonating any person or organisation;
• Violating applicable laws or regulations;
• Producing content that violates workplace or employment laws; and
• Creating fraudulent HR documents.

YHRTK may suspend or terminate your access to the AI Services if misuse is detected.

8. Service Availability

YHRTK may modify, update, suspend, or discontinue the AI Services at any time, with or without notice. YHRTK does not guarantee availability of the AI Services or that they will be uninterrupted or error free.

9. Suspension or Termination

YHRTK may suspend or terminate your access to the AI Services if:

• You breach these AI Terms;
• Misuse of the AI Services is detected; or
• Continued access creates legal, security, or operational risk.

Suspension or termination may result in the loss of access to content generated through the AI Services.

10. Third Party Technology Partners

YHRTK may use third party providers to deliver the AI Services. You acknowledge and agree that your Input (including any personal data contained within it) may be shared with those third parties.

By using the AI Services, you consent to the transfer of your data to these third party providers. Your use of the AI Services is subject to the terms of those third parties. YHRTK may share data with third parties who may use that data to improve their services. Our Privacy Policy applies in addition to these AI Terms.

11. Disclaimers

The AI Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, YHRTK makes no warranties, express or implied, regarding:

• Accuracy of the Output;
• Reliability of the AI Services;
• Legal compliance of the Output; or
• Fitness for any particular purpose.

Your use of the AI Services is at your own risk.

12. Limitation of Liability

To the maximum extent permitted by law, YHRTK, its directors, employees, contractors, and affiliates are not liable for any loss or damage arising from or in connection with:

• Your use of the AI Services;
• Your reliance on any Output;
• Errors or omissions in HR documents produced by the AI Services; and
• Any decisions made based on AI guidance.

This includes, without limitation:

• Business losses;
• Employment disputes;
• Regulatory penalties; and
• Indirect or consequential damages.

Where liability cannot be excluded under Australian law, YHRTK's total liability to you is limited to the amount paid by you to YHRTK in the twelve (12) months preceding the event giving rise to the claim.
